Update a City of Las Vegas Business License After a Sale

An ownership change can require more than editing a name on a license. Confirm jurisdiction, entity changes and the application needed before the buyer begins operating.

Licensing depends on the actual location and ownership change. Las Vegas Business Brokers Firm provides a valuation partner introduction while your advisers confirm the city filing route.

Confirm that the address is in city jurisdiction

A Las Vegas mailing address does not by itself establish that the City of Las Vegas licenses the business. Check the operating location and activity before choosing a city or county process.

The City of Las Vegas licensing guidance provides a process for changes to ownership, principals and other license information. It also distinguishes situations requiring a new application.

The city ownership checklist describes a new license packet for a change in operating entity or an ownership change of at least 50 percent. Confirm current treatment with the city for your transaction and license category.

Keep business licensing distinct from the sale contract

The purchase agreement transfers only what the parties can lawfully transfer. It does not itself authorize the buyer to operate under a city license or remove review requirements.

Identify the legal entity, business activity, premises and ownership changes before contacting licensing staff. Privileged or regulated activities may have additional steps that a general checklist cannot resolve.

A landlord consent, a state registration and a city license answer different questions. Assign responsibility for each and agree what must be completed before the business changes hands.

Retain proof of changes and closure notices

The city business license application warns that business changes must be reported and closure requires written notice. Verify current reporting deadlines and unpaid balances directly with Business Licensing.

Ask whether the seller should submit a change, closure or another notice while the buyer applies. A new buyer application should not be assumed to terminate every seller obligation.

Refer to the City of Las Vegas Business Licensing division and its Change Location, Name and Ownership checklist. Your attorney should review the timing alongside the purchase agreement.

This is general information, not tax or legal advice. Confirm the current requirements for your transaction with your CPA, attorney and the responsible agency.
