Use Las Vegas Business Brokers Firm to start an independent valuation conversation. When an offer arrives, compare its payment conditions as carefully as its total price.
Read the price as a schedule of payments
An offer may combine cash at closing, a seller note, a holdback and payments tied to future results. The total is not equivalent to receiving all of it in cash on closing day.
List the amount, timing and condition for each payment. An earnout depends on future performance measures, while a note creates a repayment obligation subject to the agreed terms and collection risk.
Compare expected net proceeds after debt payoff, transaction fees and taxes with your advisers. A headline price does not show the amount available for your next chapter.
Treat seller financing as a credit decision
Ask what secures the note, whether other lenders take priority and what remedies apply after a missed payment. Your attorney should document these points rather than relying on trust alone.
A buyer offering a larger price with substantial seller financing may shift more risk back to you. Review buyer resources, operating plans and the cash the business needs after closing.
If acquisition financing is involved, lender requirements may affect seller note terms. Confirm the current loan conditions for the actual buyer; do not assume every loan permits the same arrangement.
Negotiate the connected terms together
Working capital, inventory, training and closing conditions can change the value of an offer without changing its headline number. Put the assumptions in writing while the parties still have room to negotiate.
Settle the scope of your transition assistance. Extra training or consulting time can have value, but an open ended commitment may undermine the freedom you hoped to gain.
A valuation review gives you a starting range and a way to compare offers. It does not guarantee financing, payment or a specific closing date.
