Las Vegas Business Brokers Firm helps owners discuss a possible sale with an independent valuation partner. Closing Nevada tax accounts is a separate task for the seller and its advisers.
Identify what is ending before closing accounts
Nevada Department of Taxation directs businesses to use My Nevada Tax account closure instructions for Sales Tax, Use Tax and Commerce Tax accounts. Its Close Account Form is another route described by the Department.
First determine whether the selling entity is ceasing taxable activity or continuing after the transaction. Selling assets, selling all ownership interests and dissolving an entity are different actions.
Ask your CPA to confirm the correct account treatment for your structure. Do not close an account early simply because a purchase agreement has been signed.
Complete the final reporting as a separate task
Nevada guidance makes sellers responsible for required returns covering their period of operation. Reconcile sales, taxable purchases and outstanding balances to the books before marking the account complete.
The Department states that its Close Account Form does not cancel other state or local registrations. A tax account confirmation is not a city business license closure or a Secretary of State filing.
Modified Business Tax has a different closure dependency. The Department directs employers to contact Employment Security Division to close the unemployment account and provide the last payroll date.
Document the handoff without sharing credentials
List which accounts the seller retains, which close and which registrations the buyer must establish. Give each task an owner and retain the confirmation received.
A buyer should not simply use the seller's login or assume a tax permit transfers with equipment. Have the Department confirm the treatment of the actual legal entities involved.
Use the Nevada Department of Taxation Close a Business guidance and its current account forms with your CPA. Confirm the timing of any final returns and deposit refunds directly.
This is general information, not tax or legal advice. Confirm the current requirements for your transaction with your CPA, attorney and the responsible agency.
