Las Vegas Business Brokers Firm can introduce a valuation partner for the operating company. Plan a separate property review so rent and building value do not distort the business discussion.
Value the company and the building separately
An operating company is assessed through its earnings and risks. Commercial property is assessed through its own income and market. Combining them without separate analysis can hide where the value actually sits.
If your company pays little or no rent to a related property entity, normalize occupancy cost. A buyer evaluating the business needs to include the rent it will actually pay.
Ask the appropriate property professional to assess the building. Do not use an operating business earnings multiple as a shortcut for real estate value.
Compare the sale and lease options explicitly
You may sell the property with the company or retain it and lease it to the buyer. Each choice changes cash at closing, future obligations and the buyer's financing requirements.
A lease needs clear rent, term, renewal and assignment provisions. Leaving future rent at an undefined market amount can create uncertainty for the buyer and its lender.
If you already lease, review landlord approval and any personal guarantee. An assignment does not automatically mean the seller is released from its existing guarantee.
Keep the economics consistent across the documents
A higher rent may support property income while reducing operating company earnings. Compare the combined result instead of maximizing one part of the transaction in isolation.
Discuss tax structure, debt payoff and net proceeds with your CPA and attorney before signing an offer. Property and business transactions can require different documents and advisers.
Begin with an asset list, ownership details, lease and current financials. Those records help a valuation partner identify which questions need a separate property review.
